VuPlate Terms of Service

1. General
These terms set out the rules for using the VuPlate service: the panel for restaurants and the augmented reality (AR) dish viewing experience for guests, both operating under the domain app.vuplate.com (the "Service"). The Service is operated by PMFOR, a sole proprietorship registered in Poland's CEIDG register, with its registered address at ul. Dębowa 11 lok. 10, 43-225 Wola, Poland, tax ID (NIP) 6381756205 (the "Provider", "we", "us"). Contact: contact@vuplate.com.
These terms are a separate document from the terms of the informational website vuplate.com, which cover only the contact form on the home page. This document covers the use of the Service itself, once an account has been created.
2. What the Service is
The Service lets a restaurant show its guests dishes as 3D models, viewed in augmented reality after scanning a QR code placed in the menu, on the table or anywhere else the restaurant chooses. In the panel (app.vuplate.com) the restaurant manages its dishes, downloads QR codes and manages its account and subscription.
The 3D model of a dish is created from a scan taken with a compatible VuPlate mobile app. The scan can be done by someone from the restaurant (after installing the app as described in the panel) or, on explicit request and at an agreed date, by the Provider.
3. Creating an account and approval
You create an account through the registration form, providing the restaurant name, the contact person's details, a phone number, the city, and an email address and password. Submitting the form does not give you immediate access to the panel. We review every application manually: we get in touch by phone or email within one business day to agree the details of the cooperation before we activate the account. We reserve the right to refuse to activate an account without giving a reason, in particular where the details provided raise doubts as to their accuracy.
By providing details in the form, you confirm that they are accurate and that you are authorised to represent the entity on whose behalf you are creating the account.
4. Trial period
Once your account is activated, you have a 14-day trial period in which you can add one dish and try out the Service in full (QR code, the AR view your guests see, management in the panel), free of charge. The trial period runs from the day the account is activated, not from the day the registration form was submitted. After the trial period ends, you need to purchase a paid plan to keep using the Service.
5. Plans and payments
The Service is available in several subscription plans, differing in the number of dishes that can be shown at the same time. The current pricing is on vuplate.com and in the panel after you log in. Prices are given net of tax; VAT is added at the applicable statutory rate.
Payments are handled by Stripe, an external payment provider. The subscription renews automatically every month until it is cancelled. Cancellation takes effect at the end of the billing period you have already paid for, not immediately; until then the Service keeps working normally. You can change your plan (upgrade or downgrade) yourself in the panel or through the external billing management portal.
One-off onboarding (the Provider physically scanning your first dishes, if you use that option) is a service separate from the subscription, priced individually and billed separately.
6. What happens if payment fails or the account expires
An active, paid subscription (or an ongoing trial period) is a condition for the Service to work, both the panel and the QR codes your guests see. If the subscription expires, is cancelled, or a payment fails and is not settled, access to the panel and the operation of the QR codes for guests are suspended until payment is resumed. We do not delete your data or your 3D models in the process: resuming payment restores the Service in full, with no loss of data.
7. 3D models and copyright
The 3D model of a dish created from a scan is made available to you for the duration of your subscription, solely for the purpose of presenting that dish to the guests of your restaurant through the Service. The Provider retains the right to use screenshots, recordings and 3D models of dishes in VuPlate marketing materials (website, social media, sales presentations), on the terms described in section 8 below.
8. Reference to the cooperation, logo and social media
By creating an account, you authorise us to state publicly that your restaurant uses VuPlate. The authorisation covers the right to use the name, logo and location of your restaurant on the vuplate.com website (including in the client list and in descriptions of implementations), in sales materials, presentations and press materials, and in VuPlate social media, as well as the right to tag your restaurant's profiles in the posts we publish. The authorisation is free of charge, non-exclusive and not limited territorially.
The authorisation covers only the fact of the cooperation itself and materials showing the Service in action: the name and logo of the restaurant, the city, 3D models and photos of dishes, recordings of the AR view and screenshots from the panel. It does not cover the commercial terms of our agreement. We do not publicly disclose the price, the plan you chose, the level of any discounts, the content of individual arrangements, or any financial and billing data of your restaurant.
You can object to further publication at any time by writing to contact@vuplate.com. The objection takes effect for the future: we stop publishing new materials with the name and logo of your restaurant, we stop tagging your profiles, and we remove the mention of you from the client list on vuplate.com within 30 days. The objection does not cover materials already published on social media, or archived and printed materials, unless we agree otherwise. Nor do we have any influence over copies, shares and quotations made earlier by third parties, or over search engine archives and caches.
You represent that you hold the rights to the name and logo you pass to us or upload to the panel to an extent that allows you to grant the authorisation above, and that the materials you upload to the panel do not infringe the rights of third parties. Where the publications referred to in this section include personal data (for example where the restaurant's business name contains the owner's first and last name), we process it on the basis of our legitimate interest in promoting the Service and building credibility in the market, Article 6(1)(f) GDPR. 9. Personal data
The rules for processing personal data (yours as the contact person, and that of guests scanning the QR code) are described in a separate document, our Privacy policy.
By using the Service you are not entrusting us with the processing of personal data belonging to your guests or staff, and we do not act as a processor on your behalf within the meaning of Article 28 GDPR. We process the details of your restaurant's contact person as a controller, to perform our contract with you. The data of guests scanning the QR code, the platform type, the browser header and a hashed IP address, we collect solely for our own statistical purposes, and we are likewise the controller of that data; in the panel you only see an aggregate scan count, with no data that would let you identify a specific guest. 3D models and photos of dishes show only the scanned product and contain no personal data. For these reasons, entering into a separate data processing agreement is not necessary.
10. Technical requirements
To use the panel you need a device with internet access and an up-to-date browser. To scan dishes yourself you need a compatible iPhone with the VuPlate app installed. For a guest to view a dish in AR, the requirements described in the terms of the vuplate.com website, section 3, apply.
11. Liability
We take care to keep the Service working correctly and available, but we do not guarantee uninterrupted, error-free operation: there may be technical breaks, including ones related to maintenance work or to circumstances beyond our control (for example failures at hosting providers or at the payment provider). To the maximum extent permitted by law, we are not liable for indirect damage resulting from the Service being unavailable or from interruptions in its operation.
12. Complaints and termination
Complaints about the operation of the Service can be sent to contact@vuplate.com. We respond within 14 days of receiving the complaint at the latest. You can terminate the agreement for the use of the Service at any time by cancelling the subscription in the panel; the Service keeps working until the end of the billing period you have paid for.
13. Changes to these terms
We may change these terms where there are changes to how the Service works, to the pricing, on the side of our providers, or to the law. We will notify you of any change by email to the address linked to your account and with a notice in the panel, at least 14 days before it takes effect.
A change does not apply retroactively and does not affect a billing period you have already paid for before the date it takes effect. If you do not agree with a change, you can terminate the agreement up until the date it takes effect, by cancelling your subscription in the panel or by writing to contact@vuplate.com. In that case the Service keeps working until the end of the billing period you have paid for, with no additional charges. Continuing to use the Service after a change takes effect means you accept it.
Each version of these terms has its own date, shown at the top of this page. We provide the version in force on the day your account was created on request, by writing to contact@vuplate.com. The current version is always available at vuplate.com/en/terms-of-service.
14. Governing law
These terms are governed by Polish law. Disputes will be resolved by the court having jurisdiction under the applicable rules.
